Founded in 1906, WBL Corporation Limited (Wearnes, the Group or 维信集团) is a leading multinational conglomerate listed on the Singapore Exchange. The Group’s key activities include automotive, property, technology and engineering, manufacturing & distribution.
In automotive, Wearnes represents 11 world-renowned brands with operations throughout the region: Bentley, BMW, Bugatti, Infiniti, Jaguar, Land Rover, Mazda, McLaren, Renault, Volkswagen, and Volvo.
Wearnes’ property business is mainly in China. Its current projects include a high-end residential project on a strategically located 319,364 sq m site in Chengdu, and a prime mixed-use commercial-residential property with a total built-up area of greater than 300,000 sq m in Shenyang.
The Group’s technology business is comprised primarily of its investment in majority-owned, NASDAQ-listed unit, Multi-Fineline Electronix, Inc. (MFLEX) and SGX-listed MFS Technology Ltd.
The Engineering, Manufacturing & Distribution division consists of systems integrator O’Connor’s, as well as Wearnes’ sand mining, building materials, LPG and equipment distribution businesses.
Wearnes continues to build on the Group’s operational and technical expertise to deliver sustainable results and returns to shareholders. In April 2009, Wearnes received the Gold ‘Best Managed Board’ Award (mid cap) at the annual Singapore Corporate Awards. In October 2011, Wearnes was the joint runner-up for the Singapore Corporate Governance Award in SIAS’ 12th Investors’ Choice Awards.

Wearnes is one of the first Singapore companies to venture into Shenyang, China, and launches Riverside Garden, the Huaxin International Building and the Wulihe Plaza in succession.

Wall Street Journal cites Wearnes as one of the 66 companies of the future “that could make our world different tomorrow”.

Wearnes computers are designed by its Wearnes Technology subsidiary Advanced Logic Research (ALR), and enjoys impressive sales.
1983
Tan Sri Dr Tan Chin Tuan retires and Mr Tang I-Fang takes over as Chairman. The company takes advantage of its strong financial position to diversify into new, profitable businesses at home and abroad.
1977
The Group receives order for Singapore Bus Service’s (SBS) first double-decker buses.
1974
Tan Sri Dr Tan Chin Tuan is appointed Chairman of the company, and intensifies efforts to diversify the company’s businesses.
1970
The first Jaguar cars roars into Wearnes’ showroom.
1968
Associated Motor Industries is formed to manufacture cars in Jurong, Singapore’s first industrial estate.
1965
Wearnes becomes a holding company and all trading activities are carried out by wholly owned subsidiaries.
1950
A subsidiary, General Transport Company, leads the way in public transport and introduces three double-decker bus services.
1946
Wearne Brothers recommences business on its founding day after ceasing operations in 1942 during World War II.
1937
Wearnes launches the first commercial air service between Singapore and Malaya with Wearne’s Air Service.
1926
The Group celebrates its 20th anniversary, with more than 1,000 staff under its employment, with operations in Burma, Malaya and the Straits Settlements.
1924
Subsidiary companies are formed to handle different car agencies. Malayan Motors opens its doors at Orchard Road, handling all car makes except Ford.
1912
On 26 November 1912, C.F.F. Wearne and Co is incorporated as a public company under the name of Wearne Brothers Limited (Wearnes) with a capital of $275,000.
1906
Motorcar agency C.F.F. Wearne and Co is founded on 1 April 1906 by two brothers Charles and Theodore Wearne, with $700 in capital.

WBL Corporation Limited was established in 1906 as C.F.F. Wearne and Co. It was incorporated as a public company in 1912 as Wearne Brothers Limited, and has since been referred to in short as ‘Wearnes’. The company was renamed WBL Corporation Limited in 1994.
Norman Ip
Ka Cheung
Chairman
Mr Ip was appointed to the Board in August 2007 and was last re-elected as an Independent and Non-executive Director in 2011. He is currently the Chairman of the Board and the Remuneration Committee. He is also a member of the Nominating and Audit Committees.
Mr Ip is currently a Director of United Engineers Limited, UE E&C Ltd, Great Eastern Holdings Limited, AIMS AMP Capital Industrial REIT Management Limited and a Member of the Building and Construction Authority, Singapore. He also chairs Malaysia Smelting Corporation Berhad (listed on Bursa Malaysia).
Mr Ip retired as the President & Group CEO and Executive Director of The Straits Trading Company Limited Group of companies on 31 October 2009.
Mr Ip graduated with a BSc (Econs) from the London School of Economics and Political Science. He is a Fellow of the Institute of Chartered Accountants in England and Wales and the Institute of Certified Public Accountants, Singapore.
Benjamin
C. Duster, IV
Non-independent and
Non-executive Director
Mr Duster was appointed a Non-independent and Non-executive Director in April 2010 and was re-elected in 2011. He is a member of the Audit Committee.
Mr Duster is currently a Senior Advisor of Watermark Advisors, LLC, a US-based strategic advisory firm specialising in mergers and acquisitions, private capital raises, strategic valuations and financial modelling. Prior to this, he was with Masson & Company, LLC; Wachovia Securities, where he was Managing Director; and Salomon Brothers, where he worked for 16 years. He has also chaired various board committees of companies listed in Canada, New York and Poland.
Mr Duster holds a Juris Doctor-MBA from Harvard University and a Bachelor of Arts (cum laude) in Economics from Yale College. He was admitted to the Illinois Bar in 1985 (no longer active) and is a registered representative of FINRA.
Dr Peter Eng

Non-executive Director
Dr Eng, a Consultant Endocrinologist in private practice, was appointed a Non-independent and Non-executive Director in August 2008 and was last re-elected in 2012. He is a member of the Remuneration and Risk Committees.
Dr Eng served at the Singapore General Hospital from 2005 to 2006 as a Senior Consultant in the Department of Endocrinology and Director of the Diabetes Centre and from 2001 to 2005 as a Consultant as well as the Director of the Diabetes Centre. He was the Senior Registrar at the same hospital from 1999 to 2000.
Dr Eng received his medical degree from the National University of Singapore and is a Fellow of the Academy of Medicine in Singapore and a Fellow of the Royal College of Physicians (UK).
Mark C. Greaves
Non-independent and
Non-executive Director
Mr Greaves was appointed a Non-independent and Non-executive Director on 10 January 2012. He is a member of the Nominating and Risk Committees.
Based in Singapore, Mr Greaves is currently a Director of Malaysia Smelting Corporation Berhad, and a Senior Advisor to the Chairman of The Straits Trading Company Limited. From 2005 to 2009, he was a Director of Hong Kong-listed Gome Electrical Appliances Holding Limited, and from 2006 to 2010, he was a Director, and latterly Chairman, of London-listed Sinosoft Technology plc, an e-government services and systems integration specialist headquartered in Nanjing, China.
Prior to this, Mr Greaves was Chief Executive of Hanson Capital Investment Limited, for which he now acts as a Senior Advisor to the holding company, Hanson Family Holdings Limited. He was the founder of strategic consultancy, Anglo FarEast Group Consulting Pte Ltd and a member of the main operating board of N M Rothschild & Sons Limited, where he worked for 25 years.
Mr Greaves graduated with an MA in Economics from Cambridge University.
Lai Teck Poh

Non-executive Director
Mr Lai has been on the Board since 1993 and was last re-elected in 2012 as a Non-independent and Non-executive Director. He is the Chairman of the Risk Committee and a member of the Nominating Committee.
Mr Lai retired as an Executive Vice President in Oversea-Chinese Banking Corporation Limited in April 2010. He spent about four decades in banking, including international assignments in New York, London and Jakarta with Citibank, N.A.. He is currently a Director of Oversea-Chinese Banking Corporation Limited, OCBC Bank (Malaysia) Berhad, OCBC Al-Amin Bank Berhad, AVJennings Limited, and a Commissioner of PT Bank OCBC NISP, Tbk (formerly known as PT Bank NISP, Tbk) in Indonesia. He was a Director of Asfinco Singapore Limited, United Engineers Ltd and OCBC Land Private Limited. He was also an alternate Director of Asean Finance Corporation Limited, Asean Supreme Fund Ltd and PLE Investments Pte Ltd.
He graduated from the University of Singapore with a BA (Hons).

Mr Lee was appointed an Independent and Non-executive Director on 16 July 2012. He is the Chairman of the Audit Committee and a member of the Remuneration Committee.
He is currently a Director of CapitaMall Trust Management Limited, FEO Hospitality Asset Management Pte. Ltd., FEO Hospitality Trust Management Pte. Ltd. and Jurong International Holdings Pte Ltd, a wholly-owned subsidiary of Jurong Town Corporation.
He has more than three decades of experience in the audit and business advisory services profession, having worked in both the United Kingdom and Singapore. He was a partner of PricewaterhouseCoopers LLP and its legacy firm Price Waterhouse in Singapore prior to his retirement in June 2010. He is a Fellow of the Institute of Chartered Accountants in England and Wales and the Institute of Certified Public Accountants of Singapore. He holds a Master of Science (Distinction) in International Management and a Master of Business Administration from the University of London, and a Diploma in Management from Imperial College of Science, Technology and Medicine in London.

Andre Roy
Chief Executive Officer Automotive
Mr Roy joined the Group as the Chief Executive Officer of SM Motors in 2000. Prior to joining SM Motors, he held various positions within Volvo Cars in Canada and Asia. Mr Roy was President – Cars, Volvo East Asia (Pte) Ltd, based in Singapore. He has been heading Wearnes Automotive since 2008. He is responsible for the Group’s automotive businesses and all the brands it currently represents. Mr Roy has a Bachelor of Commerce (Hons) degree from the University of Ottawa in Canada.
Dr Hong DeCheng
Chief Executive Officer Property (China)
Dr Hong Decheng has been heading the Property (China) division since 2005. Prior to joining Wearnes, he managed business development and project management at Atkins Consultants, China. He holds a Bachelor of Science degree in Engineering from Tsinghua University, China, and a PhD in Civil Engineering from the National University of Singapore.
Steven Ong

Mr Ong joined the Group in 1984 as Financial Controller and Company Secretary of Polytek Wearnes Holding Limited. Since then, he has held the positions of General Manager (Finance & Administration) and Company Secretary, Wearnes International (1994) Limited and Managing Director, Trading, WBL Corporation Limited. He has been heading the division since September 2010. Prior to joining Wearnes, he was with Pricewaterhouse. Mr Ong holds a Bachelor of Commerce degree from the University of New South Wales, Australia and is a member of CPA (Singapore) and a fellow of CPA (Australia).
Wong Heang Tuck
Group Chief Financial Officer
Mr Wong was appointed Group Chief Financial Officer (CFO) on 1 October 2012. He is responsible for all corporate finance activities of Wearnes. He also oversees corporate communications & investor relations, enterprise risk management and information technology management. He brings to Wearnes 19 years of experience in finance, business and corporate development. Most recently, he was CFO in KS Energy Limited. Mr Wong has also held senior positions in PT Indosat and in various companies within Keppel Corporation, where he worked for eight years. He holds an MBA from Imperial College, London and a Bachelor of Engineering (First Class Honours) in Mechanical Engineering from the University of Manchester.
Roy Tan
Group Chief Strategy Officer
Mr Tan is responsible for strategic planning, mergers and acquisitions, new business initiatives and divestitures. Mr Tan has more than 15 years’ experience in operations management, business development and strategic planning. Before joining Wearnes in May 2006, he held various positions in OCBC Bank, ST Electronics and PhillipCapital. Graduating from University of Oxford with a Bachelor of Arts (Honours) in Mathematics, he also obtained a Master of Social Sciences (Applied Economics) and a Master of Science (Management of Technology) from the National University of Singapore. He is a FRM certified by Global Association of Risk Professionals, a CFA charterholder and a member of CFA Institute.
Tan Swee Hong
Group Company Secretary and Group General Manager, Legal & Compliance
Ms Tan is the Group’s Company Secretary and is responsible for the Group’s compliance, governance and corporate secretarial matters, as well as corporate legal at the Group level. Ms Tan was appointed Group General Manager in 2006 with added responsibility over the compliance and governance functions, in addition to her responsibilities over the legal and corporate secretarial matters of the Group. Ms Tan joined Wearnes in 1986, having previously worked as a Legal Manager for a publicly listed marine group in Singapore. Ms Tan graduated with an LLB (Hons) from the University of Singapore.
Yvonne Yeo
Group General Manager
Human Resources
Ms Yeo is the Group General Manager for Human Resources, responsible for setting strategic directions and driving the overall regional HR function and policies for the Group. She has more than 20 years’ experience in local conglomerates and multinational companies such as Asia Pacific Breweries, Lubrizol, Glaxo Wellcome and Intel. Prior to joining Wearnes, she was the Senior Vice President, Human Resources, Asia Pacific for CEVA Asia Pacific Holdings, covering the full spectrum of HR strategic planning and activities for their Asia Pacific operations. Ms Yeo holds a Bachelor of Arts degree majoring in Economics and Sociology from the National University of Singapore.

Wearnes initiated a corporate responsibility programme to help the less privileged in the community in conjunction with our centennial celebrations in 2006. In recent years, our community projects have been aligned to our tagline ‘Building Heritage • Creating Future’, focusing on underprivileged youths. 2012
Donated S$10,000 to Assumption Restaurant for Training (The ART), run by Assumption Pathway School, and had staff provide additional learning opportunities for the students by being patrons at the restaurant.
Donated S$10,000 to Xin Yuan Community Care and personalised gifts to 40 underprivileged children under their care at a specially held Children’s Day party.
The first Wearnes Bursary for NUS University Town, from the Company’s S$150,000 endowment set up in 2011, was given out. A dialogue session was also held for some 20 undergraduates.
Arranged exclusive visit to the Red Bull Singapore Grand Prix Racing paddock for 10 underprivileged teenagers from the REACH Family Service Centre in Bishan.

Wearnes’ Automotive division contributed S$10,000 to set up the annual Cash Award to recognise the top student in NTU’s Mechanical and Aerospace Engineering faculty.

Wearnes’ Automotive Division has long been a mainstay for the company. After all, Wearnes began as an automotive distributor in Singapore and Malaya more than a century ago. Since then, it has built on that heritage to expand the business, leveraging on its expertise in the car trade while making significant inroads with its regional expansion strategy.

1906
Charlie Frederick Foster Wearne & Theodore James Benjamin Wearne set up CFF Wearne & Co. The company’s first venture was to acquire the Oldsmobile agency and it operated out of a coach house before moving to Orchard Road.
1910
CFF Wearne & Co secured the Rolls-Royce franchise.
1911
The Ford franchise was added to the portfolio.
1912
CFF Wearne was incorporated as a public-listed company Wearne Brothers Limited.
1924
Subsidiary companies were formed to handle the various automotive brands including Armstrong Siddley, MG, Morris, Oldsmobile and Packard.
1931
The Bentley franchise was added to the portfolio when Bentley became part of the Rolls-Royce group.
1954
Work commenced to modernise the Orchard Road showroom after the turbulent times of World War I and II.
1967
The Riley, Wolesley, Austin-Healey and Princess franchises were acquired.
1970
The Jaguar franchise was acquired.
1978
Automotive operations on Orchard Road were relocated following the Government’s acquisition of the properties.
1980
Malayan Motors relocated to 45 Leng Kee Road.
1989
Wearnes began its regional expansion with the Jaguar franchise.
2000
With the acquisition of SM Motors which was established in 1979, Wearnes attained the Volvo franchise.
2003
Wearnes continued to reinforce its regional presence with the Volvo franchise.
2010
The Land Rover franchise was successfully attained by Wearnes.
Wearnes rebranded all its various automotive companies and divisions under a single brand – Wearnes Automotive – with a new tagline “Passion Driven. Since 1906.”
2011
Wearnes is appointed the official McLaren dealer in Singapore.
Wearnes is appointed the official dealer for Infiniti in Singapore.
2012
Wearnes is appointed dealer for BMW in Segambut, Kuala Lumpur, Malaysia.
Wearnes launches its flagship Volvo showroom in Changchun, China.
PT GAD, Wearnes’ joint venture with Mr Hadi Widjaja Tanaga, is appointed the new Land Rover importer and distributor in Indonesia.

Wearnes has been investing in properties in China, mainly in the residential segment since 1990s. Today, it has a substantial landbank in China, focused mainly in the five cities of Chengdu, Chongqing, Suzhou, Shanghai and Shenyang.
Through its property arm Huaxin International, its property business in China consists of property development, property management and property investment.
Huaxin International is reputed for its good quality housing, with more than 10 major property projects so far. In the pipeline is a premium residential project that is located on 319,364 sq m site in a prime area in Chengdu, China.
Shenyang was where Huaxin International first started its property business in 1990. Due to its foresight in the early years, Huaxin International has a big presence at Youth Avenue today in what is popularly known as the Golden Corridor of Shenyang. The Group is working to develop a prime mixed-use project on the former Summer Palace site. That site is about 33,473 sq m.
In that vicinity, Huaxin’s properties Riverside Garden and Wulihe Plaza are already located together with 5-star international hotels in the bustling area. Wulihe Plaza has 17,000 sq metres of retail space that houses the likes of international brands such as Louis Vuitton and Prada.
Huaxin was also one of the first to develop large-scale residential properties in Suzhou. In 2002, it sold out an entire phase of 700 units of its Orchard Manor project within three days.
Over the years, Huaxin International has garnered awards for setting high standards in design, construction, technological innovation, brand recognition, environmental protection and property management.

Technology
Technology manufacturing is one of Wearnes’ strengths, represented largely by the success of the Flexible Printed Circuits business. Flexible Printed Circuits help achieve the desired size, shape, weight and functionality of an electronic device. They are used in a wide range of modern electronic devices including mobile phones and personal digital assistants, portable bar code scanners and medical sensors.
One of the keys to Wearnes’ success in the manufacturing of Flexible Printed Circuits lies in its superior technology and processes which allow for seamless integrated manufacturing for customers.
Flexible Printed Circuits (“FPC”)
The Flexible Printed Circuits Group consists of Nasdaq-listed Multi-Fineline Electronix, Inc. (MFLEX) and Singapore mainboard-listed MFS Technology Ltd (MFS) . They are major global players that specialise in the design and manufacture of Flexible Printed Circuits, as well as the related assembly for colour display modules in handsets and other devices.
MFLEX
MFLEX ( www.mflex.com ) is a global provider of high-quality, technologically advanced flexible printed circuit and value-added component assembly solutions to the electronics industry. The Company is one of a limited number of manufacturers that provides a seamless, integrated end-to-end flexible printed circuit solution for customers, ranging from design and application engineering, prototyping and high-volume manufacturing to turnkey component assembly and testing.
The Company targets its solutions within the electronics market and, in particular, focuses on applications where flexible printed circuits are the enabling technology in achieving a desired size, shape, weight or functionality of an electronic device. Current applications for the Company’s products include mobile phones and smart mobile devices, computer/data storage, portable bar code scanners and other handheld consumer electronic devices. MFLEX’s common stock is quoted on the Nasdaq Global Select Market under the symbol MFLX.
In 2005, MFLEX was named by international business magazine Business Week as one of the “100 Best Small Companies” in the United States. The nomination was based on the company’s three-year results in sales growth, earnings growth and return on invested capital. In September, MFLEX was ranked 35th in FORTUNE Magazine’s “Top 100 Fastest-Growing Companies in the World”, based on revenue growth rate, earnings per share growth rate and a three-year annualised total return.
MFS
MFS provides its customers with one-stop design and build services across the telecommunication, computer and electronics industries. Specifically, the company has the complete design and engineering fabrication capabilities to produce a wide-range of flexible circuits and rigid printed circuit boards – these include single-sided, multi-layer and rigid-flex printed circuits.
It also has the capability to manufacture smaller and finer resolution parts – such as ball-grid arrays, flip-chips and chip-scale packages – that can accommodate advanced semiconductor technologies.
With an established global network and diversified customer base, MFS works closely with its major clients from the early stages to plan and co-develop FPC solutions for applications in products such as wireless handsets, small to mid-range LCD products, optical pick-up units and storage devices. MFS has manufacturing facilities in Singapore, Malaysia and China and offers customers cost-effective solutions.

Manufacturing Services
The Group’s Manufacturing Services companies provide services in Precision Engineering, specialising in aluminium die-casting, extrusion and precision machining for personal computers, electronics and automobile industries. The Group’s Electronic Manufacturing companies provide global customers with innovative turnkey manufacturing and supply chain solutions for the automotive, computer and electronic industries.
Engineering & Distribution
Besides distributing parts for the automotive industry, Wearnes also supplies laundry, boiler and washroom equipment and accessories, architectural ceiling and proactive fire protection systems, wall panelling, cladding systems and other equipment for the construction, marine and hospitality industries. It also has a bottled liquefied petroleum gas (LPG) business and a sand mining business in Australia.
Equipment Distribution
The Group distributes specialised equipment for several industries. Far East Motors distributes replacement OEM spare parts for the automotive industry and repair and servicing equipment for motor vehicle workshops.
Polytek Engineering specialises in laundry, boiler and washroom equipment and accessories. The construction and marine industries are serviced by Wealco Equipment which represents established brands such as JCB and Hamilton water jet propulsion. Welmate is a supplier of architectural ceiling and partition systems, fire protection and wall paneling and cladding systems for the construction industry.
LPG Distribution
SPC Wearnes Pte Ltd is a 50-50 joint venture between Wearnes Gas (Private) Ltd and Singapore Petroleum Venture Pte Ltd (SPC). Established in April 2001, it distributes mainly bottled and some bulk Liquefied Petroleum Gas (LPG) to commercial ventures, households and for industrial use in Singapore. It is a strong player in the Singapore LPG market and remains committed to consolidate its core competencies in this sector and will focus on upgrading its distribution network and customer relationship management.
Sand Mining
The Group’s sand mining operations are held in a company called Pacific Silica Pty Ltd, incorporated in Australia in 1997. It produces high quality processed silica sands of some 600 000 tonnes per year for commercial and industrial use and supplies the high grade silica to golf courses and to the construction industry. It is situated on 2,437 acres of freehold land in Ninggi in South East Queensland, Australia.
Systems Integration
O’Connor’s has built its reputation over the years, as a systems integrator of choice for state-of-the-art, high technology content applications and solutions. It has established a brand name throughout Asia for professionalism and expertise in integrating world-class systems in our core areas of broadcasting and multimedia, communications and information technology, security and surveillance, and in offering specialised equipment for a range of high-tech industries.
O’Connor’s is a leading provider of engineering systems integration services. It also distributes related products from the world’s leading manufacturers in our core business areas and in our development division.
